13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • LATAM TECH SERVICES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL.

  • OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE SHALL NOT EXCEED THE FEES PAID BY YOU TO US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE EVENT.
    Some jurisdictions do not allow certain limitations; these may not apply to you.


14. Indemnification

You agree to indemnify and hold harmless Latam Tech Services, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Content, your use of the Services, or your breach of these Terms or applicable law.


15. Governing Law & Dispute Resolution

15.1 Governing law

  • If you contract with Latam Tech Services SEP, these Terms are governed by the laws of the Republic of Panama, without regard to its conflict of laws rules.

  • If you contract with Latam Tech Services LLC, these Terms are governed by the laws of the State of Delaware, USA (or another state of registration), without regard to its conflict of laws rules.

15.2 Dispute resolution
The parties will first attempt to resolve disputes through good-faith negotiations. If unresolved within 30 days, disputes shall be finally settled by confidential, binding arbitration:

  • For Panama contracts: arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CeCAP) under its rules.

  • For US contracts: arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
    Each party bears its own costs, and the arbitrator may award fees per applicable rules. Judgment on the award may be entered in any court of competent jurisdiction. Nothing prevents a party from seeking injunctive or equitable relief in court.

Consumers or users endowed with statutory rights to resort to courts may do so as permitted by mandatory law.


16. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or utility failures, or government actions.


17. Changes to the Terms

We may modify these Terms at any time. The “Effective date” indicates the latest revision. Material changes will be communicated via email or a notice on the Site. Continued use after changes constitutes acceptance.


18. Assignment

If you and Latam Tech Services have executed a separate NDA or data processing agreement, that agreement governs confidentiality. Otherwise, both parties agree to keep non-public information received from the other party confidential and use it only for the purposes of the relationship.

Our Privacy Policy (incorporated by reference) explains how we handle personal data. By using the Services, you consent to our privacy practices.


11. Termination

We may suspend or terminate your access for any breach of these Terms or if required by law. You may terminate by ceasing use and, if applicable, cancelling your subscription. Upon termination, your license ends, but Sections intended to survive (e.g., IP ownership, disclaimers, limitations of liability) remain in effect. We will handle your Content according to our data retention practices or as required by law/contract.


12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • LATAM TECH SERVICES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL.

  • OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE SHALL NOT EXCEED THE FEES PAID BY YOU TO US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE EVENT.
    Some jurisdictions do not allow certain limitations; these may not apply to you.


14. Indemnification

You agree to indemnify and hold harmless Latam Tech Services, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Content, your use of the Services, or your breach of these Terms or applicable law.


15. Governing Law & Dispute Resolution

15.1 Governing law

  • If you contract with Latam Tech Services SEP, these Terms are governed by the laws of the Republic of Panama, without regard to its conflict of laws rules.

  • If you contract with Latam Tech Services LLC, these Terms are governed by the laws of the State of Delaware, USA (or another state of registration), without regard to its conflict of laws rules.

15.2 Dispute resolution
The parties will first attempt to resolve disputes through good-faith negotiations. If unresolved within 30 days, disputes shall be finally settled by confidential, binding arbitration:

  • For Panama contracts: arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CeCAP) under its rules.

  • For US contracts: arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
    Each party bears its own costs, and the arbitrator may award fees per applicable rules. Judgment on the award may be entered in any court of competent jurisdiction. Nothing prevents a party from seeking injunctive or equitable relief in court.

Consumers or users endowed with statutory rights to resort to courts may do so as permitted by mandatory law.


16. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or utility failures, or government actions.


17. Changes to the Terms

We may modify these Terms at any time. The “Effective date” indicates the latest revision. Material changes will be communicated via email or a notice on the Site. Continued use after changes constitutes acceptance.


18. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.


19. Severability & Waiver

If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver of such right or provision.


20. Entire Agreement

These Terms and any order forms, data processing agreements, or additional terms constitute the entire agreement between you and Latam Tech Services regarding the Services and supersede prior agreements.


21. Notices

Notices to Latam Tech Services must be sent to info@latamtech.service and to the registered addresses of Latam Tech Services SEP or Latam Tech Services LLC (as applicable). We may provide notices to you via email, in-product messages, or postings on the Site.
